Company registration fees in Ghana (government + professional) are discussing in the following:

Initially investors need to pay fees for checking the availability of company name as well as obtaining incorporation forms. The total time of completing this process could be 1 day.

  • GHC 6 will be required for per name search and GHC 7 will be required for completing set of Incorporation forms.
  • The intention of conducting a search is to find a proposed name of the company and a reservation is made if it is available.
  • Company Regulations, Tax Identification Number should be included with the Incorporation documents. 4 copies company registration including Forms 3 (Statement of Shareholding structure) which is 5 copies, Form 4 (Stated Capital) which is 2 copies and 1 copy Tax Identification Number form will be required.
  • Besides, the following things will be required to submit such as name of the company, nature of the business that the subscribers intend to engage in along with full names of shareholders, their addresses, percentage shareholdings, the full names of the first directors of the company and the most important thing is full name and address of Company Secretary and Auditors of company.
  • The investors should bear in mind that minimum nominal capital for company owned 100% by Ghanaian is C5 million.
  • The next step is to apply to the department of Register General to obtain the incorporation certificate and the total time of completing the process could be 2 days.
  • GHC 50 would be required for getting registered of a limited company and GHC 10 will be required as the fee of filling up forms 3,4. Besides, GHC 2 will be required for per certification of regulations and must be submitted 3 copied of certificate of regulation.
  • The important thing is entrepreneurs must file the proposed Company Regulations with the Registrar and the regulation mist be printed or type written or in some other legible form which the Registrar accepts.
  • They should compete the payment through cash or by bank certified draft to the Registrar General and export industry in Ghana. The department of Registrar General obtains the Tax Identification Number or certificate and the number or certificate will obtain on behalf of the incorporated company.
  • Forms 3 and 4 befour (4) or five (5) copies each as Auditors, Banks, Solicitors, Company Secretaries may eachrequire a copy of these documents according to the Company Regulations which is recommended.
  • To commence business, it is required to submit the Commissioner of Oaths authenticates forms and the total time of completing the process could be 1 day.
  • GHC 2 will be required to completing the process and at the same time, the entrepreneurs should obtain the forms from the Registrar-General's Department which will be needed 2 days to complete.
  • The total cost will be required 0.5% of the stated capital as commencement tax and GHC 10 will be required as registration fee with IRS.

Registration fees for different types of companies:

  • For Wholly Ghanaian Owned Business (Trading), GHC 10500 will be required.
  • For Wholly Ghanaian Owned Business (Others), GHC 1050 will be required.
  • In the joint venture which have $200,000 minimum foreign equity, GHC 10500 will be required.
  • For Wholly Foreign (i.e. $500,000 minimum foreign equity), GHC 16,800 will be required.
  • For Manufacturing/Export Trading, GHC 21,000 will be required
  • General Trading which have $1,000,000 minimum foreign equity, GHC 31,500 will be required
  • For renewal in every 2 years of Joint Venture & Foreign Owned companies, it is required to pay GHC 2730
  • For renewal in every 2 years of Wholly Ghanaian Owned companies, GHC 630 will be required
  • For liaison office, entrepreneurs need to pay GHC 42,000
  • For Certificate Replacement, entrepreneurs need to pay GHC630
  • For Certified True Copy (Certificate, Letters, etc.); entrepreneurs need to pay GHC 420
  • For additional Certificates for Branches, entrepreneurs need to pay GHC 2520
  • For processing fee for Strategic Projects, entrepreneurs need to pay GHC 21,000
  • For all Strategic Investment Approvals, entrepreneurs need to pay GHC105,000
  • Those companies which have invoices value up to $100,000, will get exemptions of GHC2,100
  • Those companies which have invoices value up to$200,000, will get exemptions of GHC4,200
  • Those companies which have invoices value up to$300,000, will get exemptions of GHC 6,300
  • Those companies which have invoices value up to$400,000, will get exemptions of GHC10,500
  • Those companies which have invoices value up to$500,000, will get exemptions of GHC 12,600
  • Those companies which have invoices value up to $600,000, will get exemptions of GHC 14,700
  • Those companies which have invoices value up to$700,000, will get exemptions of GHC 21,000
  • Those companies which have invoices value up to$800,000, will get exemptions of GHC 31,500
